Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at zeon.holdings and the platforms operated by Zeon Holdings LLC ("Zeon," "we," "us," or "our") — including Onyx, Aví, Veem Games, and Zeon Consulting (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

1. Acceptance

By using the Services, you confirm that you are at least the age of digital consent in your jurisdiction (13 in the United States, generally 14 in México, higher elsewhere) and that you have the capacity to enter into a binding agreement. If you are using the Services on behalf of an organization, you confirm that you have authority to bind that organization.

2. The Services

Zeon operates a family of distinct platforms:

• Onyx — business applications for construction trades, delivered via WhatsApp and Telegram
• Aví — personal finance tools for individuals and families
• Veem Games — interactive experiences and games
• Zeon Consulting — advisory engagements

Each platform may have additional terms specific to its function. Where those additional terms conflict with these Terms, the platform-specific terms control for that platform.

3. Your account

Some Services require an account. You are responsible for:

• Providing accurate information when you register
• Keeping your credentials confidential
• All activity that occurs under your account
• Notifying us promptly of any unauthorized use

We may suspend or terminate accounts that violate these Terms or applicable law.

4. Acceptable use

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to systems, accounts, or data
• Interfere with the integrity or performance of the Services
• Reverse engineer, decompile, or attempt to extract source code, except as permitted by law
• Use the Services to send spam, malware, or other harmful content
• Impersonate any person or misrepresent your affiliation with any entity
• Scrape, crawl, or harvest data from the Services except via documented APIs

5. Intellectual property

The Services, including all content, software, design, trademarks, logos, and the wordmarks "Zeon," "Onyx," "Aví," and "Veem Games," are the property of Zeon Holdings LLC or its licensors and are protected by intellectual property law. Nothing in these Terms grants you any right to use our trademarks or branding except as expressly permitted in writing.

6. User content

You retain ownership of any content you submit to the Services. By submitting content, you grant Zeon a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display that content solely as necessary to operate and improve the Services. You represent that you have the rights to grant this license and that your content does not infringe the rights of others.

7. Third-party services

The Services may link to or integrate with third-party services (for example, WhatsApp, Telegram, Apple App Store, payment processors). We are not responsible for those third-party services, and your use of them is subject to their own terms.

8. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services at our discretion, with or without notice, if we believe you have violated these Terms or applicable law, or if continued provision of the Services would expose us to legal or operational risk. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, governing law) will survive.

9. Disclaimers

The Services are provided "as is" and "as available." To the maximum extent permitted by law, Zeon disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that defects will be corrected.

10. Limitation of liability

To the maximum extent permitted by law, Zeon and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Services. Our total liability for any claim arising out of or relating to the Services will not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred US dollars (US$100).

11. Indemnification

You agree to indemnify and hold harmless Zeon and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of your violation of these Terms, your violation of applicable law, or your infringement of any third-party right.

12. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in Delaware, and you and Zeon consent to the exclusive jurisdiction of those courts. Where applicable mandatory law gives you the right to bring proceedings in your country of residence, this clause does not limit that right.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date above. Material changes will be communicated by email or in-product notice where appropriate. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
